Terms of Service

1. Who these terms are with

eSellBridge is operated by Kam Trading and Tech LLC, a Virginia limited liability company ("we", "us"). By creating an account or using the service you agree to these terms. If you are agreeing on behalf of a business, you confirm you are authorised to do so.

2. What the service is

eSellBridge is software for creating marketplace listings, managing stock, and generating marketing content. We are not a marketplace. We do not sell your goods, take payment from your buyers, or handle your money. Your relationship with eBay and with your buyers is yours.

3. Your account

• You are responsible for what happens under your account, including anything your staff do with logins you create.
• Keep your password and two-factor device secure. Tell us promptly if you think someone else has access.
• One person, one login. Sharing a login between people defeats the record of who changed what.
• You must be at least 18 and legally able to enter a contract.

4. Your content and your data

Your product information, photographs and listings remain yours. You grant us only the permission needed to run the service: to store that content, process it, and send it to the marketplaces you connect and tell us to publish to.

You confirm you have the right to the photographs and descriptions you upload, and that publishing them does not infringe anyone else's rights.

You can export your data at any time. If you close your account we delete your content, except where we are required to keep records.

5. Marketplace accounts

When you connect a marketplace account you authorise us to act on your behalf within the permissions you grant. You remain bound by that marketplace's own rules, and you remain responsible for what is published under your seller account.

You can disconnect an account at any time, which immediately stops us acting on it.

6. What the software does and does not promise

eSellBridge helps you create listings from your photographs and other information. It is designed not to state anything it cannot support with evidence, and to show you where every detail came from.

You are responsible for reviewing every listing before publishing it. The software deliberately requires you to do so: nothing is published without an explicit action by you. We do not warrant that automatically produced content is complete, accurate or suitable for a particular listing, and we are not responsible for the consequences of publishing a listing you have approved.

7. Acceptable use

You must not use eSellBridge to list goods you do not have the right to sell, to list counterfeit or prohibited items, to breach a marketplace's rules, to attempt to gain access to other customers' data, or to deliberately overload the service.

8. Payment

• Paid plans are billed in advance, monthly or annually.
• Prices are in US dollars and exclude any tax we are required to collect.
• Plans renew automatically until cancelled. Cancel at any time and the plan runs to the end of the period you have paid for.
• We do not refund part-used periods except where the law requires it.
• We will give at least 30 days' notice before a price change affects you.
• Marketplace fees are separate and are paid by you to the marketplace.

9. Availability

We work to keep the service available and we do not promise it always will be. We may take it down for maintenance, and we will avoid doing so without warning where we can. We are not responsible for a marketplace's own outages or for changes a marketplace makes to its systems.

10. Limitation of liability

To the maximum extent the law allows, our total liability to you for anything arising out of the service is limited to the amount you paid us in the twelve months before the claim. We are not liable for lost profits, lost sales, lost data, or indirect or consequential losses.

Nothing here limits liability that cannot lawfully be limited.

11. Ending the agreement

You can close your account at any time. We may suspend or close an account that breaches these terms, that is used unlawfully, or where we are required to. Where it is reasonable to do so, we will tell you first and give you a chance to put it right.

12. Changes

We may change these terms. Where a change materially affects you we will give reasonable notice by email or in the application. Continuing to use the service after a change means accepting it.

13. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law rules. The courts of Virginia have jurisdiction.
